Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website caliberinfrastructure.com (the "Site") and the services provided by Caliber Infrastructure LLC, a Florida limited liability company ("Caliber," "we," "us," or "our"). By using the Site, purchasing a service, or signing an order or payment link, you ("you," "your," or "Client") agree to these Terms. If you do not agree, do not use the Site or our services.

1. Who we are and what we provide

Caliber provides automation infrastructure for med spas and similar businesses, including AI voice reception, missed-call recovery, automated booking and reminders, patient reactivation, and reporting, configured on third-party platforms and integrated with your systems. Caliber is an infrastructure and automation provider. We are not a marketing or advertising agency, and we do not provide medical, legal, tax, or financial advice.

2. Eligibility and authority

The Site and services are intended for businesses, not consumers. You represent that you are at least 18 years old, that you are authorized to enter into these Terms on behalf of the business you represent, and that the information you provide is accurate.

3. Engagement documents and order of precedence

Your specific engagement may also be governed by an order form, statement of work, services agreement, or the Caliber Guarantee terms (collectively, "Engagement Documents"). If there is a conflict, the signed Engagement Documents control over these Terms for that engagement.

4. Fees, billing, and subscriptions

4.1 Build fees are one-time implementation fees, billed in full upfront unless your Engagement Documents state otherwise.

4.2 Retainers are recurring monthly service fees that automatically renew each month until cancelled under Section 9. By starting a subscription you authorize us (and our payment processor) to charge your payment method on file on a recurring basis.

4.3 Payments are processed by Stripe, Inc.; your use of payment features is also subject to Stripe's terms. You authorize us to store your payment method and charge it for amounts due, including recurring retainers and any approved one-time charges.

4.4 Retainer billing may be aligned to a common monthly billing date, with the first period prorated. You are responsible for applicable taxes.

4.5 Past due / suspension. If a payment fails, we may retry it and notify you. If an amount remains unpaid for more than thirty (30) days, we may suspend or deactivate your services until the balance is cleared. Suspension does not relieve you of accrued fees.

5. Refunds

Except where required by law or expressly stated in your Engagement Documents: build fees are non-refundable once implementation work has begun, and retainer fees are non-refundable for partial months. Any performance remedy is governed solely by the separate Caliber Guarantee terms, where applicable.

6. The Caliber Guarantee

Any revenue or performance guarantee Caliber offers (for example, on the flagship Full Autonomy System tier) is described in, and limited by, a separate written Caliber Guarantee document. No guarantee, estimate, or projection on the Site or in marketing materials is binding unless set out in that signed document. Illustrative figures (e.g., "$20,000–$30,000/mo recovered," "10× ROI") are examples, not promises.

7. Your responsibilities

You agree to: provide timely access to the accounts, systems, and information we need; obtain and maintain all consents required to contact your patients/leads by phone, SMS, and email; use the services lawfully; and remain solely responsible for your own regulatory obligations, including any obligations under HIPAA or similar laws regarding patient information.

8. Messaging and communications consent

8.1 If you provide your phone number or opt in, you consent to receive calls, texts (SMS/MMS), and emails from Caliber related to your account and services. Message and data rates may apply; message frequency varies. Reply STOP to opt out of texts and HELP for help.

8.2 When Caliber's systems send messages to your patients or leads on your behalf, you are the sender of record and are responsible for ensuring proper consent and opt-out handling. You authorize Caliber to operate the messaging workflows on your behalf and will cooperate with carrier registration requirements (including A2P 10DLC).

9. Term, cancellation, and termination

9.1 Retainer subscriptions continue month to month until cancelled. Either party may cancel a retainer with at least thirty (30) days' written notice, effective at the end of the then-current billing month, unless your Engagement Documents specify a minimum term.

9.2 We may suspend or terminate access immediately for non-payment, breach of these Terms, or unlawful or abusive use.

9.3 On termination, your right to use the services ends. We will make commercially reasonable efforts to provide an export of your data on request for thirty (30) days after termination, after which we may delete it.

10. Intellectual property

Caliber retains all rights in its systems, workflows, templates, configurations, software, and documentation ("Caliber IP"). You receive a limited, non-exclusive, non-transferable right to use the deliverables for your business during your engagement. You retain ownership of your business and patient data. You grant Caliber a license to use that data solely to provide and improve the services.

11. Third-party services

The services rely on third-party platforms (for example, GoHighLevel, Stripe, Retell AI, telephony/SMS carriers, and others). Your use of those platforms is subject to their terms, and Caliber is not responsible for their availability, changes, outages, or acts. Caliber is not liable for losses caused by third-party platform failures outside our reasonable control.

12. Acceptable use

You will not use the services to send unlawful, deceptive, or unconsented communications; to violate any law or third-party rights; or to interfere with or compromise the systems. We may suspend services to address suspected violations.

13. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Except as expressly stated in a signed Caliber Guarantee, we do not warrant any specific financial result, revenue, booking volume, or return on investment. Caliber does not provide medical, legal, tax, or financial advice.

14. Limitation of liability

To the maximum extent permitted by law, Caliber will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Caliber's total aggregate liability arising out of or relating to the services or these Terms will not exceed the fees you paid to Caliber in the three (3) months preceding the event giving rise to the claim.

15. Indemnification

You will indemnify and hold harmless Caliber and its members, officers, and contractors from claims, damages, and costs (including reasonable attorneys' fees) arising from your use of the services, your communications with your patients/leads, your data, or your breach of these Terms or applicable law.

16. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest version. Material changes will be posted on the Site and, where practical, communicated to active clients. Continued use after changes take effect constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction.

18. Miscellaneous

If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor. These Terms, together with your Engagement Documents and the Privacy Policy, are the entire agreement between you and Caliber regarding the services.
